Affiliate Program Terms

These Affiliate Program Terms (the "Affiliate Terms") govern participation in the Fynlix affiliate program — the program under which approved partners ("Affiliates", "you") earn commissions for referring new paying customers to Fynlix, operated by [Operator legal name — to be completed] ("Fynlix", "we"). They form an agreement between you and Fynlix separate from, and additional to, the Terms of Service, which continue to apply to any Fynlix account you hold.
Scope note. These Affiliate Terms cover promoting Fynlix itself. They do not govern affiliate programs that Fynlix customers run for their own products using the platform's affiliate features — those are the responsibility of the customer operating them (see the Terms and the AUP). If the program is not yet open for enrolment, these Affiliate Terms take effect for you upon your acceptance when enrolling.
1. Enrolment
1.1 You apply through the program's enrolment surface, providing accurate information about yourself and how you intend to promote Fynlix. Enrolment requires acceptance of these Affiliate Terms.
1.2 Approval is at our discretion, and we may decline or later revoke participation — in particular for audiences or methods that conflict with the AUP or would harm the Fynlix brand. You must be at least 18 and able to receive payouts lawfully.
1.3 You are an independent contractor. Nothing here creates an employment, agency, partnership or joint-venture relationship, and you may not make commitments on our behalf.
2. Referrals, tracking and commissions
2.1 Commercial parameters live in the program dashboard. The commission rate and duration, attribution (cookie) window, minimum payout threshold, payout schedule and eligible plans are those published in the affiliate program dashboard or offer page at the time the referred customer signs up. We may change these parameters prospectively with at least 14 days' notice; changes do not reduce commissions on already-referred, already-paying customers except as part of program termination under Section 6.
2.2 Qualified referral. A commission accrues when a person who is not an existing Fynlix customer (and not you) signs up through your unique referral link within the attribution window, becomes a paying subscriber, and actually pays. Attribution is determined by our tracking system, which is authoritative absent manifest error. Self-referrals — including accounts you own, control or operate, and workspaces for your own clients that you bill — do not qualify.
2.3 Adjustments and clawbacks. Commissions are calculated net of VAT and refunds. Commissions are reversed for payments that are refunded, charged back or unpaid, and for referrals obtained in violation of these Affiliate Terms.
2.4 Payouts. Approved commissions are paid in the currency, by the method, on the schedule and above the minimum threshold stated in the dashboard. You are responsible for your own taxes and social contributions on payouts, and for providing accurate payout and (where required) tax information. We may withhold amounts where required by law, and may withhold or offset payouts pending investigation of suspected fraud.
3. Promotion rules
You must:
- Disclose the relationship. Clearly and conspicuously disclose that you earn a commission from Fynlix referrals, wherever you promote (as required, for example, by the FTC Endorsement Guides and equivalent EU/national rules on commercial communications).
- Tell the truth. Only make claims about Fynlix that are accurate and consistent with our published materials. No invented features, no fabricated results, and no earnings claims ("make €10k/month with funnels") that you cannot substantiate and that we have not approved.
- Follow the AUP. The Acceptable Use & Anti-Spam Policy applies to your promotion: no spam (email, SMS, DMs, forum flooding), consent-based sending only, working unsubscribes.
You must not:
- Bid on "Fynlix" or confusingly similar terms (including misspellings) in paid search, or use them in ad display URLs, domain names, subdomains, social handles or app names; or otherwise impersonate Fynlix, including "official-looking" pages that a reasonable visitor would take for ours.
- Use cookie stuffing, forced clicks, iframes, pop-unders, toolbar/extension injection, typosquatting, or any technique that attributes referrals without a genuine, intentional click.
- Offer unauthorised rebates, cash-backs or side-payments for signing up through your link, or misrepresent coupon or discount availability ("coupon hijacking").
- Purchase or promote through stolen payment instruments, bot traffic, incentivised signup farms or other fraudulent means.
- Promote via content that violates Section 2 of the AUP (illegal, deceptive, hateful, adult, etc.).
4. Brand licence
For the duration of your participation we grant you a revocable, non-exclusive, non-transferable licence to use the Fynlix name, logo and approved marketing assets solely to promote Fynlix under these Affiliate Terms. All goodwill inures to us. We may require changes to, or removal of, any use of our brand.
5. Data protection
Referral tracking processes limited personal data (your details; technical attribution data about referred visitors) as described in the Privacy Policy. If you collect personal data in your own promotion (for example your own email list), you are its controller and solely responsible for its lawfulness.
6. Term and termination
6.1 Either party may terminate participation at any time, with immediate effect, by notice (email suffices; we may also terminate by disabling your program access).
6.2 On termination other than for your breach, commissions validly accrued to the termination date and reaching the payout threshold are paid on the normal schedule; recurring commissions cease at the end of the period stated in the dashboard, or on program shutdown with 30 days' notice.
6.3 On termination for your breach (including any violation of Section 3), unpaid commissions are forfeited to the extent permitted by law, and we may reverse commissions attributable to the breach.
6.4 Sections that by nature survive (accrued payment obligations subject to 6.3, brand-licence termination, confidentiality, liability, governing law) survive.
7. Liability; general
Participation is at your own risk; the program is provided "as is", and we may modify or discontinue it under Section 2.1 and 6.2. Our total aggregate liability to you in connection with the program is limited to the commissions paid or payable to you in the 12 months preceding the claim, and Section 16 of the Terms applies mutatis mutandis (including its carve-outs). You will indemnify us against third-party claims arising from your promotion in breach of these Affiliate Terms. Sections 19 (governing law and disputes) and 20 (general) of the Terms apply to these Affiliate Terms. We may update these Affiliate Terms with 14 days' notice; continued participation after the effective date is acceptance.
